1. Agreement to Terms & Eligibility

Welcome to Nidamiye (referred to as "Nidamiye", "we", "us", or "our"), a property management software utility owned and operated by Groundwork Technologies. By registering an account, accessing, or using our platform (including nidamiye.com and the landlord dashboard application), you agree to be bound by these Terms of Service.

To use our services, you must be at least 18 years of age and possess the legal authority to enter into these terms. If you do not agree to these rules, you may not access or use our services.

2. Account Registration & Security

To access the core features of the Nidamiye rent tracking platform, you must create a landlord account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the security and confidentiality of your credentials and password.
• Notify us immediately at hello@nidamiye.com if you suspect any unauthorized access or breach of security.
• Accept full responsibility for all activities, data updates, and settings performed under your account.

3. Subscriptions, Billing & Payments

Nidamiye is offered on a subscription-fee basis. We offer different tiers of subscription plans as described on our pricing page:

• Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis depending on the plan you select.
• M-Pesa Integration: Payments for subscriptions are processed securely. You agree to provide valid billing information or perform M-Pesa push collections as required to maintain active account status.
• Refunds: Subscription payments are non-refundable unless specified otherwise by Nidamiye in writing or required by applicable law.
• Plan Upgrades/Downgrades: You can upgrade or downgrade your plan through your landlord settings. Downgrading may result in the loss of features or capacity, and Nidamiye does not accept liability for such losses.

4. Acceptable Use Policy

Nidamiye is designed to help landlords manage properties and automate rent reconciliation safely. You agree not to use the services to:

• Engage in any fraudulent, deceptive, or illegal activities.
• Store or upload malicious files, viruses, or code intended to damage the platform or other users' systems.
• Attempt to bypass, hack, scan, or test the vulnerabilities of Nidamiye's security systems.
• Use automated crawlers, bots, or scripts to scrap or harvest data from the platform.
• Harass, threaten, or send unauthorized messages or spam notifications to tenants.

5. User responsibilities & Tenant Consent

As a landlord, you act as the Data Controller for the tenant personal data (such as names, phone numbers, and lease agreements) that you upload to Nidamiye.

You represent and warrant that:

• You have obtained explicit consent from your tenants to upload their contact details and lease information to Nidamiye.
• You have the legal right to send automated invoice and receipt notifications to your tenants via SMS or WhatsApp channels integrated within the platform.
• You will ensure the accuracy of all tenant numbers and payment rules to avoid matching mismatches.

6. Intellectual Property Rights

All intellectual property rights in the Nidamiye platform, including but not limited to software code, website design, graphics, text, branding, logos, and trademarks, are owned by Groundwork Technologies or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for managing your properties. You must not copy, modify, distribute, sell, or lease any part of our services or reverse-engineer our software.

7. Data Ownership & Privacy

You retain all ownership rights to the landlord data, property listings, and tenant databases that you upload to Nidamiye. Nidamiye does not claim any ownership rights over your content.

By uploading your content, you grant Nidamiye a worldwide, royalty-free, non-exclusive license to host, process, and display your data solely to provide, run, and improve the rent-tracking utility. How we handle your personal data is described in our Privacy Policy.

8. Service Availability & Disclaimers

While we strive to keep our services running reliably 24/7, Nidamiye is provided on an "as-is" and "as-available" basis.

We do not warrant that:

• The services will be completely uninterrupted, timely, secure, or free from bugs or errors.
• The results obtained from using the services will be 100% accurate or reliable.
• Automated M-Pesa payment matching will always be instantaneous, as delays caused by Safaricom network outages, carrier gateway delays, or API failures are beyond our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Groundwork Technologies, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of, or inability to access or use, the services.
• Any unauthorized access to or use of our secure servers and/or personal data stored therein.
• Any errors, delays, or failures in payment matching, receipt delivery, or invoicing systems.
• Any action taken in connection with tenant disputes or tax calculations.

10. Termination & Suspension

We reserve the right to suspend or terminate your account and access to the platform immediately, without prior notice or liability, if you breach these Terms of Service, fail to pay subscription fees, or engage in activities that harm other users or the platform's integrity.

Upon termination, your right to use the platform ceases. If you wish to delete your account data, please follow the account deletion process or contact us at hello@nidamiye.com.

11. Governing Law & Dispute Resolution

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any disputes shall be resolved through amicable negotiations. If negotiations fail, the disputes shall be submitted to the exclusive jurisdiction of the competent courts of Kenya.

We reserve the right to modify these Terms of Service at any time. We will notify you of updates by posting the new terms on this page and updating the "Last Updated" date. Continuing to use Nidamiye after updates are published constitutes your acceptance of the revised terms.
